Terms & Conditions

These terms govern your use of vynixtech.net (the "Site"), operated by Vynix Tech, a business name registered in Ghana (registration number BN240020226), with its head office at 22 Krapa Street, Tema, Greater Accra, Ghana ("Vynix", "we", "us"). Please read them carefully.
1. Acceptance
By accessing or using the Site you agree to these terms and to our Privacy Policy. If you do not agree, do not use the Site. If you use the Site for an organisation, you confirm you have authority to accept these terms for it.
2. Permitted use
You may use the Site to learn about Vynix and to contact us for lawful business purposes. You must not:
- break any law or regulation, or infringe anyone's rights;
- try to gain unauthorised access to the Site, its servers or any connected system;
- introduce malware, or interfere with the Site through denial-of-service attacks, scraping at volume, or automated misuse of the contact form;
- send spam, unlawful, abusive or misleading content through the Site;
- impersonate any person or misrepresent your connection with anyone;
- copy, reverse engineer or reuse the Site or its content except as these terms allow.
3. Intellectual property
The Site and its content, including text, graphics, logos, screenshots, designs and code, and the names Vynix, Vynix Tech, Inventra, Vendar and Vynix Docs, belong to Vynix or its licensors and are protected by law. You may view and print pages for your own reference. Any other use needs our prior written permission.
4. Information only, not an offer
Content on the Site is general information about Vynix and its products and services. It is not an offer, quote, proposal or professional advice, and it does not create a contract. Features, prices and availability may change without notice. Any engagement with us is binding only under a separate signed agreement or accepted written proposal.
5. Our products
Use of Inventra, Vendar, Vynix Docs and any custom software or services we provide is governed by the separate agreements, terms of service and policies for that product or project. If those terms conflict with these, the product or project terms apply to that product or project.
6. Third-party links
The Site links to third-party sites, including our social media pages and vendar.online. We provide these links for convenience. We do not control and are not responsible for their content, availability, security or practices, and a link is not an endorsement. Your use of those sites is at your own risk and under their terms.
7. No warranties
The Site is provided "as is" and "as available". To the maximum extent permitted by law, we make no warranties or representations of any kind, express or implied, including about accuracy, completeness, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted, secure or free of errors or viruses.
8. Limitation of liability
To the maximum extent permitted by law:
- we are not liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, business, goodwill or data, arising from or related to the Site, even if we were told it was possible;
- our total liability for all claims arising from or related to the Site is limited to the greater of (a) the amounts you paid us for the specific service the claim relates to in the 12 months before the claim arose, and (b) GHS 500.
Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud.
9. Indemnity
You agree to indemnify and hold harmless Vynix, its owners, staff and contractors from any claims, losses, liabilities, costs and expenses (including reasonable legal fees) arising from your breach of these terms, your misuse of the Site, or your violation of any law or third-party right.
10. Suspension and termination
We may suspend, restrict or end your access to all or part of the Site at any time, without notice, if we reasonably believe you have broken these terms or to protect the Site or others. We may also change or withdraw the Site at any time. Sections that by their nature should survive will continue to apply.
11. Force majeure
We are not responsible for any failure or delay caused by events beyond our reasonable control, including power or internet outages, failures of hosting or other providers, natural events, strikes, civil unrest, government action or cyberattacks.
12. Governing law and disputes
These terms are governed by the laws of the Republic of Ghana. If a dispute arises, both sides will first try in good faith to settle it by negotiation. If it is not settled within 30 days of written notice, it will be submitted to the exclusive jurisdiction of the courts of Accra, Ghana.
13. General
- Severability: if any part of these terms is found invalid, the rest stays in force.
- No waiver: if we do not enforce a right, we have not waived it.
- Entire agreement: these terms, with the Privacy Policy and Cookie Policy, are the whole agreement between you and us about the Site.
- Assignment: you may not transfer your rights under these terms. We may transfer ours, for example as part of a reorganisation or sale.
- Electronic communications: you agree that notices and communications by email or on the Site satisfy any requirement for writing, in line with the Electronic Transactions Act, 2008 (Act 772).
14. Changes to these terms
We may update these terms at any time by posting a new version here. The "Last updated" date shows when they last changed. Continuing to use the Site after a change means you accept the new terms.
